Terms and Conditions

1. General Information

These Terms and Conditions govern the use of the website kodeksa.lat and the contracting of services offered by Kodeksa, a company legally established in the Republic of Ecuador.

2. Services Offered

Kodeksa offers the following technology services:

  • Custom Software Development: Creation of web applications, mobile apps, and customized systems tailored to client needs.
  • Outsourcing and Staff Augmentation: Provision of specialized tech talent to integrate with existing work teams.
  • Artificial Intelligence Solutions: Implementation of AI models, chatbots, automation, and data analytics.
  • Cloud Infrastructure: Design, migration, and management of cloud architectures.
  • SaaS Products: Development and commercialization of proprietary software-as-a-service solutions.
  • Digital Growth: UI/UX design, branding, digital marketing, and SEO positioning services.

3. Contracting Conditions

3.1 Contracting Process

Service contracting is done through prior agreement between Kodeksa and the client. Each project includes:

  • Detailed technical and commercial proposal
  • Clearly defined project scope
  • Delivery schedule and milestones
  • Agreed payment terms

3.2 Quotations

Quotations issued by Kodeksa are valid for 30 calendar days from the date of issuance, unless otherwise indicated in writing.

3.3 Payments

Payment terms are established in each contract or commercial proposal. Kodeksa reserves the right to suspend services in case of pending payments that exceed agreed deadlines.

4. Refund Policy

Kodeksa applies a partial refund policy under the following conditions:

  • Work not performed: The client may request a proportional refund corresponding to work that has not been started or executed at the time of cancellation.
  • Delivered work: Refunds are not applicable for work already delivered and approved by the client.
  • Formal request: All refund requests must be submitted in writing to contacto@kodeksa.lat stating the reasons.
  • Processing time: Refund requests are processed within a maximum of 15 business days.

5. Intellectual Property

5.1 Source Code

Source code developed specifically for the client is transferred in full upon complete payment of the project, unless otherwise agreed in writing.

5.2 Reusable Components

Kodeksa reserves the right to reuse generic components, libraries, and methodologies developed during projects, provided they do not include confidential client information.

5.3 Client Materials

All materials provided by the client (logos, content, data) remain the exclusive property of the client.

6. Confidentiality

Kodeksa commits to maintaining strict confidentiality regarding all client information accessed during service delivery. This obligation remains in effect even after the commercial relationship ends.

7. Limitation of Liability

  • Kodeksa shall not be liable for indirect, incidental, or consequential damages arising from the use of services.
  • Kodeksa's maximum liability is limited to the total amount paid by the client for the specific service in question.
  • Kodeksa does not guarantee specific business results derived from the use of developed software.

8. Service Warranty

Kodeksa offers a 30-day warranty on errors or bugs in delivered code, counted from the final delivery date. This warranty covers functionality corrections according to agreed specifications but does not include new features or scope changes.

9. Modifications to Terms

Kodeksa reserves the right to modify these Terms and Conditions at any time. Modifications will take effect upon publication on the website. Existing contracts will be governed by the terms accepted at the time of signing.

10. Applicable Law and Jurisdiction

These Terms and Conditions are governed by the laws of the Republic of Ecuador. Any dispute arising in relation to these terms shall be submitted to the jurisdiction of the competent courts of the city of Guayaquil, Ecuador.
